The European provider of digital trust solutions and digital transaction management, Namirial, has signed an agreement to acquire ZeroComa, a Madrid-based provider of electronic invoicing solutions, electronic notifications, and tax reporting for Spanish companies.
Namirial’s shareholders include leading private equity funds Bain Capital and PSG Equity, Ambienta SGR, the founder of the Group, Enrico Giacomelli, and members of its management team, combining institutional investment, entrepreneurial vision, and sector expertise.
ZeroComa’s platforms, including EdasNEO and InvoiZE, do they serve more than 650 clients, including 20% of the IBEX 35 companies. The deal broadens Namirial’s footprint in Spain and strengthens the Group’s digital transaction management offering ahead of the country’s upcoming mandatory electronic invoicing regulation.
Massimiliano Pellegrini, CEO of the Namirial Group, said: “ZeroComa is a great company, built over the years with passion, rigor and a deep understanding of its clients’ needs. Its technological platforms are among the most established in the Spanish market for electronic notifications and invoicing, at a time when regulation makes digital compliance a necessity for all companies.”
“We are proud to welcome ZeroComa to Namirial. I want to thank the Allende family for their work to date and what they have built: a company with solid foundations, a loyal customer base, and a highly talented team. We are pleased that the current management team will remain with the company and become a key part of Namirial in Spain, and we are excited to partner with Álvaro and Alejandro Allende. Together we will accelerate growth by leveraging Namirial’s commercial reach, product capabilities, and trusted services.“
Álvaro Allende and Alejandro Allende, co-CEOs of ZeroComa, have added: “We are deeply grateful to our parents, who founded ZeroComa, and to the entire team that has grown the company alongside us. Joining Namirial is the natural next step in our growth path: it brings us the resources, scale, and credibility of a European leader in digital trust solutions to capitalize on the opportunity ahead. We will continue to lead the business, together with the current management team, and we look forward to becoming part of Namirial in Spain, delivering to our clients the value of Namirial’s full trust platform.“
Both Spanish executives will also become shareholders in Namirial. The current management team will remain in their posts and will play a central role in developing Namirial’s electronic invoicing business in Spain.
